These Terms and Conditions shall be reviewed at least annually by the Market Operator and may be amended where necessary to reflect operational, legal or regulatory changes.

 

1. INTRODUCTION

These Trader Terms and Conditions establish the contractual requirements for all traders operating within Great Torrington Pannier Market.

By submitting an application, booking a stall, attending the Market or trading at the Market, traders agree to comply with:

  • These Terms and Conditions.

  • The Market Management Policy.

  • Market Rules and Procedures.

  • Applicable legislation and regulatory requirements.

The Market Operator reserves the right to amend these Terms and Conditions from time to time.

Reasonable notice of significant changes will be provided where practical.

 

2. DEFINITIONS

Market Operator means North Devon Handmade Collective.

Market Manager means the person appointed by the Market Operator to manage the day-to-day operation of the Market.

Trader means any individual, partnership, company, charity, organisation or representative authorised to trade within the Market.

Market means Great Torrington Pannier Market.

 

3. PRINCIPLES OF DECISION MAKING

The Market Manager shall exercise all powers and discretion under these Terms fairly, reasonably, consistently and in accordance with the objectives of the Market Management Policy.

Decisions shall take account of:

  • The interests of the Market.

  • Fair treatment of traders.

  • Safety and legal compliance.

  • Community and heritage objectives.

  • Operational requirements.

Nothing in these Terms creates an entitlement to trade or receive any particular decision.

 

4. TRADER ELIGIBILITY

Traders must:

  • Be at least 18 years of age.

  • Hold all necessary licences, registrations and permits.

  • Maintain appropriate insurance.

  • Supply accurate information.

  • Trade only in approved products and services.

  • Comply with all Market requirements.

The Market Manager may request evidence of compliance at any time.

Failure to provide requested information may result in suspension or refusal of trading rights.

 

5. APPLICATIONS AND ACCEPTANCE

Submission of an application does not guarantee acceptance.

Applications shall be assessed in accordance with the Market Management Policy and trader selection criteria.

Trader selection criteria are published within the Market Management Policy and may include product quality, market fit, local relevance, sustainability, heritage contribution and operational considerations.

The Market Manager reserves the right to:

  • Accept or refuse applications.

  • Restrict product categories.

  • Limit trader numbers.

  • Request further information.

  • Place applicants on a waiting list.

  • Acceptance does not create a permanent right to trade.

Acceptance of applications remains subject to market capacity limits established by the Market Operator.

 

6. WAITING LISTS

Where demand exceeds available capacity, the Market Manager may establish waiting lists.

Placement on a waiting list:

  • Does not guarantee future acceptance.

  • Does not create priority rights.

  • May be reviewed periodically.

Applicants may be removed from waiting lists where contact details become invalid or where there has been no response to reasonable communication attempts.

 

7. STALL BOOKINGS

Bookings are only confirmed when:

  • A stall has been allocated.

  • Fees have been paid where required.

  • Required documentation has been received.

The Market Manager reserves the right to relocate traders where necessary for operational, safety or management reasons.

No trader has an automatic right to a particular stall location.

All stall allocations remain subject to market capacity limits, health and safety requirements, accessibility requirements and operational considerations determined by the Market Operator.

Allocation of a stall does not guarantee allocation of the same stall at future markets.

 

8. FEES AND PAYMENT

All fees must be paid in accordance with published payment arrangements.

Failure to pay fees may result in:

  • Cancellation of bookings.

  • Refusal of future bookings.

  • Suspension from trading.

Recovery of outstanding debts.

The Market Operator reserves the right to amend fees periodically.

 

9. CANCELLATIONS AND REFUNDS

Traders unable to attend must notify the Market Manager as soon as reasonably practicable.

Unless otherwise agreed:

  • More than 14 days' notice may be eligible for a full refund or transfer.

  • Between 7 and 14 days' notice may be eligible for a partial refund or transfer.

  • Less than 7 days' notice will normally not be eligible for a refund.

The Market Manager may depart from these arrangements where exceptional circumstances exist.

Failure to attend without notice may affect future bookings and trader priority.

 

10. FORCE MAJEURE

The Market Operator shall not be liable for cancellation, interruption, delay, relocation or alteration of market activities arising from circumstances beyond its reasonable control.

Such circumstances may include:

  • Severe weather.

  • Flooding.

  • Utility failures.

  • Public health incidents.

  • Government restrictions.

  • Industrial action.

  • Building damage.

  • Security incidents.

  • Any other unforeseen event.

No compensation shall be payable in respect of such circumstances.

 

11. INSURANCE REQUIREMENTS

All traders must maintain Public Liability Insurance with a minimum indemnity value of £5 million.

Where applicable, traders must also maintain:

  • Product Liability Insurance.

  • Professional Indemnity Insurance.

  • Employers’ Liability Insurance.

  • Evidence of insurance must be supplied upon request.

  • Failure to maintain appropriate insurance may result in immediate suspension.

Insurance policies shall be maintained for the duration of participation in the Market.

 

12. PRODUCTS AND SERVICES

Traders may only sell products and services approved by the Market Operator.

Traders shall not:

  • Change their approved product range significantly without prior approval.

  • Sell products outside their approved business category.

  • Sell illegal or prohibited goods.

The following are prohibited:

  • Counterfeit goods.

  • Offensive materials.

  • Dangerous products.

  • Illegal products.

  • Goods prohibited by law.

Traders are responsible for ensuring that their products, branding, packaging and promotional materials do not infringe the intellectual property rights of any third party.

Traders shall comply with all applicable consumer protection, trading standards, product safety, product labelling and pricing legislation relevant to their business activities. Traders remain solely responsible for ensuring that goods and services offered for sale are lawful, accurately described, safe and fit for purpose.

The Market Operator accepts no responsibility for disputes relating to intellectual property rights.

The Market Manager may require the removal of products at any time.

 

13. FOOD TRADERS

Food traders must:

  • Be registered with the appropriate local authority.

  • Comply with food safety legislation.

  • Display allergen information where required.

  • Maintain appropriate hygiene standards.

  • Cooperate with inspections.

Food traders shall provide food hygiene ratings, registration details or other compliance documentation when requested.

Food traders remain solely responsible for legal compliance.

 

14. FOOD TRADER REQUIREMENTS

Food traders shall additionally:

  • Maintain appropriate temperature controls where required.

  • Provide suitable handwashing facilities where necessary.

  • Manage food waste appropriately.

  • Maintain allergen management procedures.

  • Comply with any Food Trader Requirements issued by the Market Operator.

The Market Manager may request evidence of compliance at any time.

 

15. STALL PRESENTATION

Traders shall maintain stalls that are:

  • Safe.

  • Clean.

  • Professional.

  • Attractive.

  • Appropriate to the Market environment.

Products offered for sale shall display clear and accurate pricing information unless the nature of the goods or services makes this impracticable.

Displays must not obstruct public access routes or emergency exits.

 

16. SET-UP AND PACK-DOWN

Traders shall:

  • Arrive within designated access times.

  • Complete set-up before opening.

  • Trade for the advertised trading period.

  • Remove equipment promptly at the end of trading.

Early departure without permission may affect future bookings.

 

17. VEHICLE ACCESS

No vehicles shall be permitted within the trading areas of Great Torrington Pannier Market unless expressly authorised by the Market Manager for operational, maintenance, emergency or accessibility purposes.

All deliveries, loading and unloading activities shall take place only within designated areas and times specified by the Market Manager.

Traders shall comply with all access arrangements issued by the Market Operator.

 

18. HEALTH AND SAFETY

Traders must:

  • Comply with health and safety requirements.

  • Report hazards immediately.

  • Cooperate with inspections.

  • Follow instructions issued by the Market Manager.

Unsafe activities may result in immediate suspension.

The Market Manager may require the immediate modification, relocation or removal of any display, equipment, product or activity that presents a health and safety risk.

The Market Manager may require trading activity to cease immediately where necessary to protect safety, compliance or the reputation of the Market. Trading may only recommence when the Market Manager is satisfied that the issue giving rise to the cessation of trading has been adequately addressed.

Such action may be taken without prior notice where immediate risks are identified.

 

19. FIRE SAFETY

Traders shall:

  • Keep emergency exits clear.

  • Maintain access to fire equipment.

  • Follow emergency procedures.

  • Comply with evacuation instructions.

 

Traders shall comply with any emergency instruction issued by:

  • The Market Manager.

  • Emergency services.

  • Authorised representatives of the Market Operator.

This requirement applies to fire incidents, medical emergencies, security incidents, structural concerns, evacuations and other emergency situations.

Failure to comply may result in removal from the Market.

20. ELECTRICAL EQUIPMENT

 

Electrical equipment must:

  • Be safe.

  • Be maintained appropriately.

  • Be suitable for commercial use where required.

The Market Manager may prohibit the use of unsafe equipment.

 

21. BUILDING PROTECTION

Great Torrington Pannier Market is a historic building and community heritage asset.

Traders shall not:

  • Drill into walls or structures.

  • Attach fixtures to historic features.

  • Alter any part of the building.

  • Damage the fabric of the building.

  • Fix, tape, pin, glue or attach materials to walls, columns, doors, windows or historic features without prior approval.

  • Lean stock, equipment or displays against historic features where damage may result.

Any accidental damage must be reported immediately.

Traders may be liable for the full cost of repairs arising from damage caused by their activities.

 

22. WASTE MANAGEMENT

Traders must:

  • Keep their trading area clean.

  • Remove waste unless alternative arrangements apply.

  • Use recycling facilities where available.

The Market Operator may recover additional cleaning costs where necessary.

 

23. ENVIRONMENTAL RESPONSIBILITY

Traders shall:

  • Dispose of waste responsibly.

  • Use recycling facilities where available.

  • Minimise single-use plastics where reasonably practicable.

  • Cooperate with Market environmental initiatives.

Traders are encouraged to:

  • Reduce packaging.

  • Use sustainable materials.

  • Source products responsibly.

  • Minimise environmental impacts.

 

24. CONDUCT AND BEHAVIOUR

All traders shall:

  • Behave professionally.

  • Treat others respectfully.

  • Follow reasonable instructions.

  • Support a positive trading environment.

The following are prohibited:

  • Harassment.

  • Aggressive behaviour.

  • Discrimination.

  • Intimidation.

  • Abuse.

  • Anti-social conduct.

Traders remain responsible for any assistants, employees, volunteers or representatives operating from their stall and shall ensure their compliance with these Terms.

Any breach of these Terms by such persons may be treated as a breach by the trader.

 

25. EQUALITY AND INCLUSION

Traders shall not discriminate against customers, visitors, volunteers, contractors or other traders.

Traders shall comply with applicable equality legislation and support the Market's commitment to creating an inclusive and welcoming environment.

Discriminatory conduct may result in enforcement action.

 

26. SOCIAL MEDIA AND REPUTATION

Traders shall not engage in conduct, either online or in person, that:

  • Brings the Market into disrepute.

  • Harasses other traders.

  • Damages relationships with stakeholders.

  • Knowingly publishes false or misleading information.

Nothing in this clause prevents legitimate complaints or protected disclosures.

27. MARKET BRANDING

The name, logos and branding of Great Torrington Pannier Market and North Devon Handmade Collective remain the property of the Market Operator.

Traders shall not use Market branding for promotional purposes without prior written permission.

Traders shall not imply endorsement, sponsorship or partnership unless expressly authorised.

 

28. PHOTOGRAPHY AND MARKETING

The Market Operator may take photographs and video recordings within the Market for:

  • Marketing.

  • Promotion.

  • Press releases.

  • Funding applications.

  • Heritage interpretation.

  • Reporting purposes.

Such activities shall be undertaken in accordance with applicable data protection legislation and the legitimate interests of promoting and documenting the Market.

Photography and filming may occur as part of the normal operation and promotion of public events held within the Market.

Traders who have concerns regarding photography should notify the Market Manager in writing.

 

29. SAFEGUARDING

Traders shall support the safeguarding of children and vulnerable adults.

Any safeguarding concerns must be reported immediately to the Market Manager.

Where there is an immediate risk of harm, traders should contact the emergency services without delay.

 

30. DATA PROTECTION

Traders must comply with applicable data protection legislation.

The Market Operator shall process trader information in accordance with its Data Protection Policy.

 

31. TRADER RECORDS

Traders shall promptly notify the Market Manager of changes to:

  • Contact details.

  • Business ownership.

  • Insurance arrangements.

  • Registrations.

  • Licences.

  • Product categories.

Failure to provide accurate information may affect trading eligibility.

 

32. COMPLAINTS

Complaints may be submitted in writing to the Market Manager.

Complaints shall be managed in accordance with the Market Complaints Procedure.

 

33. TEMPORARY SUSPENSION

The Market Manager may temporarily suspend trading rights pending investigation of:

  • Complaints.

  • Safety concerns.

  • Alleged breaches.

  • Regulatory issues.

  • Behavioural concerns.

The trader shall normally be informed of the reasons for suspension unless doing so would prejudice an investigation or create a safeguarding, legal or safety risk.

Temporary suspension does not imply guilt and shall be reviewed as soon as reasonably practicable.

Temporary suspension shall normally be reviewed within ten working days unless exceptional circumstances require a longer period.

The trader shall be informed of the outcome of the review.

 

34. BREACHES OF THESE TERMS

Serious breaches may result in immediate exclusion from the Market.

Examples of serious breaches include:

  • Violence or threatening behaviour.

  • Harassment or discrimination.

  • Theft or fraud.

  • Deliberate damage to property.

  • Serious health and safety breaches.

  • Safeguarding concerns.

  • Repeated breaches of Market requirements.

  • Actions likely to cause significant reputational damage to the Market.

This list is not exhaustive.

Compliance with Schedule B (Trader Code of Conduct) forms part of these Terms and Conditions.

 

35. RIGHT TO REFUSE ENTRY

The Market Manager reserves the right to refuse entry or participation to any trader where:

  • Fees remain unpaid.

  • Required documentation is missing.

  • Insurance requirements are not met.

  • Health and safety concerns exist.

  • The trader has breached these Terms.

  • Participation may create operational, safety or reputational risks.

Any refusal of entry may be subject to the appeals process set out in Section 37.

 

36. SUBLETTING AND TRANSFER OF STALLS

Traders shall not:

  • Transfer bookings.

  • Assign trading rights.

  • Sublet stalls.

  • Permit another person to trade in their place.

Without prior written approval from the Market Manager.

Unauthorised transfers may result in immediate removal.

 

37. APPEALS

Traders may appeal formal decisions within fourteen days of notification.

Appeals must be submitted in writing.

Appeals relating to suspension, exclusion, refusal of trading rights or other significant decisions shall be reviewed by the Market Operator or an individual not involved in the original decision.

Appeals will normally be determined within twenty working days.

The appellant shall be informed of the outcome in writing.

The appeal decision shall be final.

 

38. LIMITATION OF LIABILITY

The Market Operator shall not be responsible for:

  • Loss of earnings.

  • Loss of business.

  • Theft.

  • Damage to stock.

  • Damage to equipment.

  • Vehicle damage.

Nothing within these Terms excludes liability where such exclusion is prohibited by law.

 

39. ACCEPTANCE OF TERMS

By applying to trade, booking a stall or attending the Market, traders confirm that they:

  • Have read these Terms and Conditions.

  • Agree to comply with them.

  • Agree to comply with Market policies.

  • Accept the authority of the Market Operator and Market Manager in matters relating to the operation of the Market.

 

40. CONFLICT OF INTEREST

Traders shall disclose to the Market Manager any actual, potential or perceived conflict of interest that may influence decisions relating to applications, stall allocations, procurement, sponsorship, partnerships or other Market activities.

Such disclosures shall be made as soon as reasonably practicable after the conflict becomes known.

The Market Operator reserves the right to determine what action, if any, is required to manage the conflict.

 

41. GOVERNING LAW

 

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

 

SCHEDULE A – MARKET RULES

The Market Manager may issue operational Market Rules covering:

  • Arrival times.

  • Stall dimensions.

  • Loading and unloading arrangements.

  • Access routes.

  • Utility use.

  • Waste arrangements.

  • Signage requirements.

  • Health and safety procedures.

  • Emergency procedures.

  • Heritage protection requirements.

Market Rules shall be consistent with the Market Management Policy and these Terms and Conditions and shall not override, amend or conflict with their provisions.

Market Rules may be updated from time to time and shall form part of these Terms and Conditions.

SCHEDULE B – TRADER CODE OF CONDUCT

 

1. PURPOSE

This Code of Conduct sets out the standards of behaviour expected of all traders participating in Great Torrington Pannier Market.

The Code supports the Market's objectives of providing a welcoming, safe, inclusive and professional environment for traders, customers, volunteers, visitors and partners.

All traders are expected to uphold these standards while attending, trading at or representing the Market.

2. PROFESSIONAL STANDARDS

Traders shall:

  • Conduct themselves in a professional and courteous manner.

  • Act honestly and with integrity.

  • Treat customers fairly and respectfully.

  • Provide accurate information regarding products and services.

  • Honour commitments made to customers and the Market.

  • Cooperate with the Market Manager and authorised representatives.

3. RESPECT FOR OTHERS

Traders shall:

  • Treat fellow traders, customers, volunteers, contractors and visitors with dignity and respect.

  • Support a friendly and welcoming atmosphere.

  • Respect differences of opinion and background.

  • Avoid behaviour that may intimidate, offend or exclude others.

The Market has a zero-tolerance approach to:

  • Harassment.

  • Bullying.

  • Discrimination.

  • Threatening behaviour.

  • Abuse, whether verbal, written or physical.

Traders shall treat volunteers with the same respect afforded to Market staff and fellow traders.

4. CUSTOMER SERVICE

Traders shall:

  • Present products honestly and accurately.

  • Respond to customer enquiries politely.

  • Handle complaints professionally.

  • Avoid misleading claims.

  • Promote confidence in the Market through positive customer interactions.

5. COOPERATION WITH MARKET MANAGEMENT

Traders shall:

  • Follow reasonable instructions issued by the Market Manager.

  • Cooperate with health and safety requirements.

  • Support emergency procedures where required.

  • Provide information requested for compliance purposes.

  • Work constructively with Market staff and volunteers.

6. MARKET REPUTATION

Traders are ambassadors for Great Torrington Pannier Market.

Traders shall:

  • Support the reputation of the Market.

  • Promote positive relationships with customers and the community.

  • Avoid conduct likely to damage confidence in the Market.

  • Raise concerns through appropriate channels rather than through public confrontation.

Nothing in this section prevents legitimate complaints, whistleblowing or protected disclosures.

7. ONLINE AND SOCIAL MEDIA CONDUCT

When referring to the Market online, traders shall:

  • Be respectful and professional.

  • Avoid abusive or inflammatory comments.

  • Refrain from making knowingly false or misleading statements.

  • Respect the privacy of others.

Constructive feedback and legitimate discussion are encouraged when expressed appropriately.

8. HERITAGE AND COMMUNITY RESPONSIBILITY

As users of a historic community venue, traders shall:

  • Respect the historic character of the building.

  • Support efforts to preserve the Market as a community asset.

  • Help maintain a clean, safe and welcoming environment.

  • Contribute positively to the cultural and economic life of Great Torrington.

9. BREACHES OF THIS CODE

Breaches of this Code may be addressed through:

  • Informal advice or guidance.

  • Verbal or written warnings.

  • Temporary suspension.

  • Formal enforcement action under the Trader Terms and Conditions.

Serious or repeated breaches may result in exclusion from the Market.

10. COMMITMENT

 

By trading at Great Torrington Pannier Market, traders agree to uphold this Code of Conduct and contribute positively to the success, reputation and sustainability of the Market.
